SellLocal provides local search registration and submission services and associated reporting/monitoring via an account management area. To fulfill the defined Services, SellLocal must share submitted business information with the defined local search providers (see below). By purchasing SellLocal Services, you are bound to the following terms of service, as well as the terms of service of the defined local search providers. SellLocal reserves the right to update the Terms of Service at any time. Any updates will be effective upon posting of the updated terms to the website.

SellLocal will not share your information with any business other than those defined below as local search providers or under certain legal conditions.

You acknowledge that the use of this Service is solely at your own risk. The Service is provided on an "as is" and "as available" basis. SellLocal expressly disclaims all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement.

You agree to use the Services for lawful purposes only. In addition, you agree not to submit content to the Service that is unlawful, hateful, vulgar, or otherwise objectionable. In cases where content is submitted that SellLocal, at its sole discretion, deems to be objectionable, SellLocal retains the right to alter or remove the content before submission to the local search providers.

Businesses that provide adult products or services are not accepted into the program.

SellLocal shall not be considered responsible for acts beyond its control including, but not limited to, acts of God, power outages, earthquakes, or other disasters.

You agree to purchase Services for a one (1)-year subscription period. You acknowledge that SellLocal will automatically renew your subscription each year and charge the account we have on record for an additional year(s) of service at the end of each subscription period, at the then-current year's rate, unless you contact us at info@SellLocal.com to cancel Services at least thirty (30) days prior to the end of the then-current subscription period.

SellLocal does not collect any Credit Card information directly.

You agree to indemnify and hold SellLocal and its other affiliated companies, and their officers, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post, transmit or make available through the Service.

You may cancel your initial request for Services for any reason within 48 hours after you sign up and a refund will be issued. Refunds will not otherwise be issued under any other circumstances.

To the maximum extent allowed by law, SellLocal and its other affiliated companies, any of their officers, directors or employees shall not be liable for any direct, indirect, special, incidental or consequential damages (no matter how they arose, including negligence), or for interrupted communications, lost data or lost profits, arising out of or in connection with the Services provided hereunder. Further, SellLocal and its other affiliated companies, any of their officers, directors or employees will not have any liability for any losses arising because the SellLocal Services are not operational or accessible. This section does not limit liability for bodily injury of a person. Because some states do not allow limitations on incidental or consequential damages, liability in such jurisdictions shall be limited to the extent permitted by law.

Many local search providers syndicate their content to other search providers. SellLocal offers no warranty or guarantee as to these syndication partners. SellLocal does agree to provide the most accurate list of syndication partners available via the website at the time of the initiation of the Service.

SellLocal retains the right to alter (add or remove) local search providers included in this agreement at any time.

You grant SellLocal the right to store and alter the provided content prior to submission to the local search providers.

You also grant SellLocal a royalty free, world-wide right and license to access, index, cache, and display the provided content.

You agree to allow SellLocal to act as an agent on your behalf when submitting your business information to the local search providers.

You acknowledge that providing incomplete, inaccurate, or otherwise incorrect information about your business and/or its location may result in your listing being rejected by the local search engines. No refund is offered for rejected listings, but you do have the opportunity to correct the information in your listing and to have the information resubmitted.

SellLocal agrees to submit your business information to the defined local service providers within two (2) business days of payment. This agreement does not cover reasons beyond the control of SellLocal including, but not limited to, Internet connectivity issues and the accessibility of local search provider systems.

SellLocal does not guarantee or warranty that SellLocal provided submissions will be accepted by the local search providers for inclusion in their index or what timeframe is required for listing.

SellLocal does not guarantee or warrant how SellLocal provided submissions would be displayed or ranked by the local search providers.

As part of the Local Core package SellLocal provides optimized submissions (additions and updates) to Google’s local business listings (Maps).

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Service or your use of this Web site shall be filed only in District Court, District of New Jersey, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

If any parts of these Terms of Service is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.
